These Terms of Service ("Terms") govern your access to and use of the website at planckred.com, including all content, tools, and services made available thereon (collectively, the "Services"), operated by Planck Red Private Limited ("Planck Red", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office in New Delhi – 110001, India.

By accessing or using our Services, you ("User" or "you") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use our Services.

You must be at least 18 years of age and legally capable of entering into a binding contract under Indian law to use our Services. By using the Services, you represent and warrant that you meet these requirements and that all information you provide is accurate and truthful.

If you are accessing the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Planck Red provides informational, marketing, and tooling services related to:

• AI-ready modular edge data center products (Q Series — Q5 and Q10)
• Cloud orchestration and distribution platforms (Quanta Cloud)
• Enterprise archival and DR storage (PlanckVault)
• Edge infrastructure, sovereign cloud, and AI solutions
• The DC Designer tool (DCD) — a free, web-based data centre design tool

The content on our website is for general informational and marketing purposes. Product specifications, pricing, and availability are subject to change. Actual commercial terms will be governed by separate agreements.

You agree to use the Services only for lawful purposes. You must not:

• Use the Services in any manner that violates applicable Indian or international law or regulation
• Transmit any unsolicited or unauthorised advertising or promotional material
• Attempt to gain unauthorised access to any part of the Services or our servers
• Introduce malicious code, viruses, or any material that is harmful, offensive, or technically damaging
• Reverse engineer, decompile, or disassemble any part of the Services
• Use any automated means (bots, scrapers, crawlers) to access the Services without our prior written permission
• Impersonate Planck Red or any other person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services

We reserve the right to terminate or restrict your access to the Services if we determine, in our sole discretion, that you have violated these Terms.

The DC Designer ("DCD") is a free, indicative tool provided to help users estimate data centre configurations, power requirements, and physical footprints. You acknowledge that:

• DCD outputs are estimates only and do not constitute professional engineering advice.
• Actual project specifications must be validated by qualified engineers prior to procurement or construction.
• By submitting your information through DCD, you consent to Planck Red using that information to contact you with a design package and relevant sales information.
• Planck Red is not liable for any decisions made based solely on DCD outputs.

All content on the Services — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — is the property of Planck Red or its content suppliers and is protected under the Copyright Act, 1957, and other applicable intellectual property laws.

The Planck Red name, logo, Quanta Cloud, Q Series, PlanckVault, and related trademarks are proprietary to Planck Red Private Limited. Nothing in these Terms grants you any right to use our trademarks, trade names, or service marks without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business evaluation purposes only. You may not copy, modify, distribute, sell, or lease any part of the Services.

By submitting any content to us — including through contact forms, the DCD tool, or email — you grant Planck Red a non-exclusive, worldwide, royalty-free licence to use, store, and process that content for the purpose of providing the Services and for improving our products. You represent that you own or have the right to submit such content and that it does not infringe any third-party rights.

Our Services may contain links to third-party websites or integrate third-party services (e.g., YouTube for embedded videos, LinkedIn for social links). These links are provided for your convenience only. We do not endorse, control, or take responsibility for the content or practices of any third-party sites. Your interactions with third-party sites are governed by their own terms and privacy policies.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PLANCK RED DOES NOT WARRANT THAT:

• the Services will be uninterrupted, timely, secure, or error-free;
• the results obtained from use of the Services will be accurate or reliable; or
• any errors in the Services will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties. To the extent such exclusions are not permitted, they apply only to the maximum extent permitted by applicable law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLANCK RED AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) INR 5,000 OR (B) THE AMOUNT, IF ANY, PAID BY YOU TO PLANCK RED IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Planck Red and its directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices regarding your personal information.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

We may revise these Terms at any time. The revised Terms will be posted on this page with an updated effective date. Material changes will be notified via a prominent notice on the Services. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. The courts of New Delhi, India, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by notifying us in writing at legal@planckred.com. We will use reasonable efforts to resolve the dispute within 30 days of receiving your notice.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Planck Red regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
